Welcome to Chonkly

Chonkly is a blockchain-based digital art marketplace where creators can mint, sell, and transfer authentic NFTs. These terms of service outline the rules and regulations for using our platform, including the minting, purchasing, and trading of NFTs on the Ethereum blockchain.

1. Our Smart Contract Technology

Chonkly uses ERC-721 standard smart contracts deployed on the Ethereum blockchain. Our contracts have been developed with security as a priority, implementing best practices for NFT minting, transfers, and sales. Each NFT minted on Chonkly is a unique, verifiable digital asset that represents ownership of the associated artwork.

When you connect your wallet to Chonkly, you're interacting directly with our verified smart contracts. All transactions are recorded on the Ethereum blockchain, providing transparent and immutable proof of ownership and transaction history.

2. The Minting Process

When you mint an NFT on Chonkly, the following steps occur:

  1. You upload your digital artwork to our secure storage system
  2. Our platform generates a unique metadata file containing details about your artwork
  3. When you confirm the transaction in MetaMask, our smart contract mints a new ERC-721 token
  4. The token is assigned to your wallet address, establishing verifiable ownership
  5. The token's metadata points to your artwork, creating a permanent link between the token and the digital asset

Note: This process ensures that each NFT is unique, verifiable, and properly attributed to its creator. Standard gas fees required by the Ethereum network apply to all minting transactions.

3. Your Collection Is Blockchain-Verified

The digital art you purchase on Chonkly is represented by ERC-721 tokens on the Ethereum blockchain. These tokens are stored in your personal wallet, not on our servers. Your ownership is verified and secured by the blockchain, allowing you to display, transfer, or sell your NFTs as you wish.

Each NFT in your collection has a unique token ID and metadata that links to the digital artwork. This metadata is stored securely and follows industry standards to ensure compatibility with wallets, other marketplaces, and future applications.

4. Security Measures

Chonkly implements multiple security measures to protect our users and their digital assets:

  • Secure metadata storage with redundant backups
  • Smart contract security best practices
  • Secure wallet connection protocols
  • Transaction verification and confirmation systems
  • Regular security audits and updates

⚠️ Security Reminder: While we strive to provide the highest level of security, users are responsible for maintaining the security of their own wallets and private keys. Never share your private keys or seed phrases with anyone, including Chonkly staff.

5. Fees and Transactions

Chonkly does not charge any platform fees. There are no fees for minting, listing, or selling NFTs on our platform. The only costs you will encounter are the standard Ethereum network gas fees required to process blockchain transactions.

All transactions on the Ethereum blockchain require gas fees, which vary based on network congestion and are paid directly to Ethereum validators. These costs are determined by the Ethereum network and are not controlled by Chonkly.

All financial transactions on Chonkly are conducted in cryptocurrency through the Ethereum blockchain. We do not process or store credit card information or traditional banking details. All transaction records are publicly visible on the blockchain, providing transparency and accountability.

6. Intellectual Property

When you purchase an NFT on Chonkly, you are buying ownership of the token that represents the digital artwork, not necessarily the copyright to the artwork itself. The specific rights granted to NFT owners are determined by the creator and may vary from one NFT to another.

By default, creators retain copyright and intellectual property rights to their work, while collectors receive ownership of the NFT and limited rights to display the artwork. Creators are responsible for ensuring they have the necessary rights to mint NFTs of their artwork.

7. DMCA Policy and Copyright Infringement

Chonkly respects the intellectual property rights of others and operates in accordance with the Digital Millennium Copyright Act (DMCA) and all other applicable copyright laws. As a platform provider, Chonkly is not responsible for policing or monitoring user-uploaded content for potential copyright violations. It is the sole responsibility of artists and rights holders to identify and report any infringing content.

How to File a DMCA Takedown Notice

If you believe that your copyrighted work has been copied, remixed, or otherwise used in a way that constitutes copyright infringement on our platform, you must submit a written DMCA takedown notice to our designated agent at:

Your DMCA notice must include:

  • A physical or electronic signature of the copyright owner or authorized agent
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material on our platform that is claimed to be infringing, with enough detail to locate it
  • Your contact information (address, phone number, and email)
  • A statement that you have a good faith belief the use is not authorized by the copyright owner, its agent, or the law
  • A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner

Response to Valid DMCA Notices: Upon receipt of a valid DMCA takedown notice, Chonkly will act in accordance with applicable law, which may include removing or disabling access to the allegedly infringing content. We may also notify the user who posted the content so they may submit a counter-notification if they believe the takedown was made in error.

Counter-Notifications: If you believe your content was removed by mistake or misidentification, you may submit a written counter-notification to noah@chonkly.com. Counter-notifications must comply with the requirements set forth in the DMCA.

Repeat Infringers: Chonkly reserves the right to terminate the accounts of users who are found to be repeat infringers of copyright.

Important: Chonkly is a platform provider and does not proactively monitor, review, or verify the originality of user-uploaded content, including remixes or derivative works. If you are a rights holder and believe your work is being infringed, you must report it through the DMCA process described above. Chonkly will only act upon receiving a valid, compliant DMCA notice.

8. User Responsibility and Indemnification

By using Chonkly, you agree to be solely responsible for your actions and content. You warrant that you have all necessary rights to mint, sell, or transfer any digital artwork you upload to our platform. This includes ensuring that any remixes, derivative works, or adaptations you create and upload comply with all applicable copyright laws and do not infringe on the rights of any third party.

Indemnification

You agree to indemnify, defend, and hold harmless Chonkly, its owners, operators, employees, and affiliates from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your violation of these terms of service
  • Your violation of any third-party rights, including but not limited to intellectual property rights and copyrights
  • Any claim that content you uploaded, minted, or distributed infringes on the copyright, trademark, or other intellectual property rights of any third party
  • Your use of the platform or services in any manner
  • Content you upload, mint, remix, or distribute through our platform
  • Any fraudulent, illegal, or unauthorized activity conducted through your account
  • Any DMCA claims, disputes, or legal proceedings related to content you have uploaded

Content Responsibility: You are solely responsible for ensuring that any content you upload does not infringe on copyrights, trademarks, or other intellectual property rights. Chonkly does not monitor, review, or verify the originality or ownership rights of user-uploaded content. All responsibility for copyright compliance rests with the user who uploads the content.

Legal Compliance: You agree to comply with all applicable laws and regulations when using our platform, including all copyright and intellectual property laws. Any violations are your sole responsibility, and Chonkly disclaims all liability for user actions that violate applicable laws. Chonkly's sole obligation with respect to copyright infringement is to respond to valid DMCA takedown notices as required by law.

Limitation of Liability: Chonkly is a platform that facilitates the minting and trading of NFTs. We do not create, endorse, or verify user-uploaded content. Under no circumstances shall Chonkly be held liable for any copyright infringement or intellectual property disputes between users or between users and third parties.

9. Changes to These Terms

We may update these terms from time to time to reflect changes in our services, user feedback, or legal requirements. We'll notify users of significant changes through our website or email. Your continued use of Chonkly after terms are updated constitutes acceptance of those changes.
